These Terms govern your access to and use of all content, products, and Services available at the Strategic Technology Service, LLC website (the "Service") operated by Strategic Technology Service, LLC ("us", "we", or "our").

Your access to our Services is subject to your acceptance, without modification, of all of the terms and conditions contained herein and all other operating rules and policies published and that may be published from time to time by us.

Please read the Agreement carefully before accessing or using our Services. By accessing or using any part of our Services, you agree to be bound by these Terms. If you do not agree to any part of the terms of the Agreement, then you may not access or use our Services.

Technology Services

Our Services include, but are not limited to, managed IT services, 24/7 help desk and remote support, cloud solutions and migration (including Microsoft 365, Azure, and AWS), cybersecurity and compliance services, network design and administration, data backup and disaster recovery, and IT consulting / virtual CIO advisory. The specific scope of services, deliverables, response-time commitments, timelines, and fees will be outlined in a separate Statement of Work (SOW), Service Level Agreement (SLA), or master service agreement. The SOW will supersede any general information provided on this website.

Payment Terms

Fees for our Services are due as specified in the client agreement, SLA, or SOW. Services may be billed on a recurring monthly retainer (managed services), project basis, time-and-materials basis, or other agreed-upon structure. We reserve the right to suspend or terminate services for non-payment. Unless explicitly stated otherwise in the SOW, all payments are non-refundable once a service period has begun.

Intellectual Property

The Agreement does not transfer from us to you any of our or third-party intellectual property, and all right, title, and interest in and to such property will remain (as between the parties) solely with Strategic Technology Service, LLC and its licensors. You retain ownership of all pre-existing materials, data, and systems you provide to us. Any new documentation, configurations, or deliverables developed by us specifically for the engagement will be assigned to you upon full and final payment for the relevant Services, excluding our proprietary methodologies, templates, tools, and reusable code.

Third-Party Services

In delivering our Services, we may rely on third-party platforms and vendors (for example, Microsoft, Google, Cisco, Datto, SentinelOne, AWS, or similar providers). Your use of these platforms is governed by their respective terms and conditions. We are not responsible or liable for the actions, policies, pricing changes, outages, or performance of any third-party services.

Our Service may contain links to third-party websites or services that are not owned or controlled by Strategic Technology Service, LLC. Strategic Technology Service, LLC assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

Termination

Either party may terminate the service agreement with written notice, typically 30 days, as outlined in the SOW or SLA. We may terminate or suspend your access to our Services immediately, without prior notice, for any material breach of these Terms or for actions that endanger our systems, personnel, or other clients. All provisions of the Agreement which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

Our Services are provided "AS IS" and "AS AVAILABLE". Strategic Technology Service, LLC and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or that the Services will fully prevent every cybersecurity incident, data loss event, or third-party failure.

Jurisdiction and Applicable Law

Except to the extent any applicable law provides otherwise, the Agreement and any access to or use of our Services will be governed by the laws of the State of Missouri. The proper venue for any disputes will be the state and federal courts located in St. Louis County, Missouri.

Changes

Strategic Technology Service, LLC reserves the right, at our sole discretion, to modify or replace these Terms at any time. If we make material changes, we will provide notice. Your continued use of our Services after such changes constitutes acceptance of the new terms.
